Terms of Service
These terms govern every project we take on at formaDigital. They are written in plain language so both sides know exactly what to expect. If anything is unclear, reach out — we're happy to explain.

1. Services we provide
formaDigital is a Swiss digital agency that provides website design, website development, digital marketing, search-engine optimisation (SEO) and mobile application development. The exact scope of work for each project is defined in a written proposal or contract that both parties agree to before work begins.
2. Payment terms and conditions
All prices are quoted and invoiced in Swiss Francs (CHF). Unless otherwise agreed in writing, our standard payment schedule is:
- 50 % upfront — due before work begins.
- 50 % on delivery — due when the final deliverables are handed over.
Invoices are payable within 30 days of the invoice date. Late payments may incur interest at the statutory rate under Swiss law.
3. Project cancellation policy
Either party may cancel a project at any time by providing written notice (email is sufficient). If a project is cancelled, all work completed up to the date of cancellation is billable. formaDigital will provide a summary of work completed and issue a final invoice accordingly.
Any upfront payment already received will be applied toward the work completed. If the work completed is less than the upfront amount, the difference will be refunded within 30 days.
4. Intellectual property
Once full payment has been received, the client owns all final deliverables — including designs, source code and content created specifically for the project.
formaDigital retains the right to showcase the completed project in its portfolio, on its website and in marketing materials, unless the client requests otherwise in writing.
Third-party assets (fonts, stock images, open-source libraries) remain subject to their own licences. We will clearly identify any such assets in the project handover.
5. Limitation of liability
formaDigital's total liability for any claim arising from a project is limited to the amount the client actually paid for that specific project. We are not liable for indirect, incidental or consequential damages — including but not limited to lost revenue, lost data or business interruption.
We do our best to deliver high-quality, reliable work, but digital products depend on third-party platforms, hosting providers and ever-changing technology. We cannot guarantee uninterrupted or error-free operation of any delivered product.
6. Confidentiality
Both formaDigital and the client agree to keep all project details confidential. This includes business plans, technical specifications, pricing and any other information shared during the course of the engagement. Confidential information will not be disclosed to third parties without prior written consent, except where required by law.
7. Governing law
These Terms of Service are governed by and construed in accordance with the laws of Switzerland, specifically the laws of the Canton of Ticino. Any matters not covered by these terms are subject to the relevant provisions of the Swiss Code of Obligations and other applicable Swiss federal and cantonal legislation.
8. Dispute resolution
If a disagreement arises, both parties agree to first attempt informal resolution through good-faith discussion. Most issues can be resolved with a simple conversation.
If informal resolution is not successful, the exclusive place of jurisdiction is the courts of Lugano, Canton of Ticino, Switzerland.
